CONSTITUTION OF THE INTERNATIONAL GOLF CLUB, NICOSIA
Article 1 : Name and objects of the Club
The Club shall be called “The International Golf Club, Nicosia” (hereinafter referred to as the Club or the IGCN); the objects of the Club shall be golfing and social amenities for its members. The income and property of the Club shall be applied solely to its stated objects; no member of the Club shall receive payment for his/her services as a member; however, a member employed by the Club or providing services outside the scope of membership of the Club may be remunerated for such employment or services; on dissolution of the Club, an Extraordinary General Meeting shall be called to decide on the disposal of the Club’s assets.
The Club is affiliated to the European Golf Association through the Cyprus Golf Federation, and abides by the Rules of Golf as determined by the Royal and Ancient Golf Club of St. Andrews and its Rulings.
Article 2 : Composition of the Club
The IGCN shall comprise a President and members. The UNFICYP Force Commander shall always be invited to be President.
Membership of the IGCN shall be open, upon payment of an initial entrance fee and a subscription, to past and present civilian and military staff and dependants of UN units and agencies, and to members of the diplomatic corps in Cyprus; also to such civilians who are voted in by the Governing Body and approved by the President.
Article 3 : Governing Body
The IGCN shall be governed by a Governing Body comprising Chairman, Captain, Vice-Captain, Lady Captain, Lady Vice-Captain, Secretary, Treasurer, Competition Secretary, Course Maintenance Member, Clubhouse Member, and a Handicap Member. All these officers shall be elected at the Annual General Meeting, and shall serve for one year only but shall be eligible for re-election.
Article 4 : Management of the IGCN
The management of the IGCN shall be vested in the Governing Body, which shall have full control of the funds of the Club. It shall have the power to replace at its discretion any member of the Governing Body who is unable to continue to serve and to fill any vacancy until the next Annual General Meeting.
Nominations for membership of the Governing Body may be put forward up to seven days prior to the date of the AGM. All nominations must be seconded, and put forward with the approval of the nominee.
Article 5 : Meetings
The Governing Body shall convene at least monthly. An Annual General Meeting shall be convened once a year.
An Extraordinary General Meeting of the IGCN may be called by the President, the Chairman, or 15 members of the IGCN. An EGM shall be deemed to have the powers and function of an annual general meeting. At least 21 days’ written notice of all general meetings shall be sent to all members.
Decisions at all meetings shall be on the basis of a simple majority. All fully paid-up members shall be entitled to vote either in person or by proxy given to a member of the Club. No member shall have more than one vote. In the case of equality, the Chairman shall have a casting vote.
A quorum shall comprise the following:
(a) Governing Body meeting: 6 members of the Governing Body
(b) Annual General Meeting: 15 members
(c) Extraordinary General Meeting: 15 members
If within half an hour from the time appointed for any meeting a quorum is not present, the meeting if convened upon the request of members shall be dissolved. In any other case it shall stand adjourned to the same day in the next week at the same time and place or to such other day and at such other time and place as the chairman may determine. If at the adjourned meeting a quorum is not present within half an hour from the time appointed for the meeting, then the members present shall form a quorum.
Article 6 : Alterations to the Constitution
The Constitution of the IGCN may be altered provided that provided that proposed alterations are sent to members 21 days before a General Meeting, and passed by a simple majority of attending members and proxies. Each alteration shall be considered separately.
Article 7 : Subscriptions
Subscriptions to the IGCN shall cover the costs of running the Club. They shall be reviewed and adjusted at the discretion of the Governing Body to this end.
Article 8 : Complaints and discipline
Any member who wishes to make a complaint relevant to the IGCN shall do so in writing to the Secretary, who must submit such complaint to the Governing Body at its next meeting. The Governing Body’s findings shall be accepted as final.
The Governing Body shall have the power, by resolution passed by a simple majority of the members present, to suspend or terminate the membership of any member of the Club for any conduct that in its opinion is prejudicial to the interests of the Club.
Article 9 : Finance
The Club financial year shall run from 1 June to 31 May the following year.
All cheques on behalf of the Club shall be signed by one or two members of the Governing Body, according to signing limits determined by the Governing Body from time to time.
The accounts shall be subject to an annual audit executed by a certified professional or a review performed by an appropriate member, neither of whom should be a member of the Governing Body at the time, and immediately thereafter posted on the Club notice board and presented to the next Annual General Meeting following the audit.
Article 10 : The Rules of Golf
The Rules of the Game of Golf of the Royal and Ancient Golf Club of St. Andrews shall be observed in all matches and competitions on the course.
The Governing Body shall have the power to make and amend local rules.
